The Statute
A)GENERAL DISPOSITION
Art. 1
An association is constituted according to art. 36 of the Civil Code, by the name of “ASSOCIAZIONE ITALIANA COLLEZIONISTI CAVATAPPI, AICC” at the address of the Secretary pro-tempore.
Art. 2
The objective of the Association is to develop and strengthen the friendship among members, through a deeper and more thorough understanding of this common collecting interest.
To reach its objective, the association organises and promotes events, initiatives and meetings among members to increase their exchange of information, the study and research related to the merit of corkscrew collecting, and of collecting related instruments.
Art. 3
The Association is apolitical and a non profit organisation.
B) MEMBERS
Art. 4
Only amateur corkscrew and related instrument collectors will be admitted as members of the association, with the exclusion of antiquarians and merchants in the sector.
The association is comprised of a limited number of members, the fixed number being fifty.
Art. 5
Only persons of legal age, regardless of gender may be members. The association is open to all those who (subsequent to the selection process), wish to benefit of the advantages of social interaction.
Art. 6
The association is composed of the following membership categories:
a) Ordinary Members: these participate in all activities and work to develop and reach its objectives. They are full legal members of the AICC and must answer all of its obligations. Among these, those who participated at the first meeting assume the honorary title of Founding Members.
b) Honourary Members: can be non-members of the association, cultured in the field of collecting in general and/or having a specific knowledge. They can participate at meetings and events of the AICC, but do not have the right to vote. They are exempted from paying the annual AICC membership fee, and only pay for the cost of the meetings in which they participate.
Art. 7
To admit a new members the following procedure shall be followed:
a) Each member can submit to the Governing Council one or more names, along with a brief curriculum and essential information.
b) Memberships are decided during the Annual Meeting, prior to a decision by the Governing Council. The approval must be reached by unanimity through secret ballot.
Art. 8
Each member is obliged to pay the annual membership fee according to what is established by the assembly, under the advice of the Governing Council, and a simple majority of those present.
Art. 9
The members will inform the Governing Council or the President of any important initiatives they intend to undertake (exhibits, publications, etc.).
Art. 10
The association’s funds are made up of:
a) Annual membership fees;
b) Other funds which might be raised from other social activities.
Art. 11
Membership must be withdrawn by the Governing Council in the following cases:
1) Personal decision to resign (Art. 12)
2) Decline or degeneracy (Art. 13)
3) Incompatibility (Art. 14)
Art. 12
The member who intends to withdraw from the AICC must do so in writing; and all social obligations must have been entirely respected.
Art. 13
The member is no longer so if decided by the Council, in the following cases:
a) He or she should refuse to pay the annual membership fee;
b) He or she should be in some way prohibited or incapacitated.
Art. 14
Whoever should not respect the statute, or should fail to share the objectives of the association and is in any way indignant of its membership, shall be tried before the assembly that will be free to choose on his or her expulsion. Notification of this decision will be made by registered mail.
Art. 15
A resigning member, fallen or expulsed, loses all rights to his or her contribution to the association’s fund.
C) SOCIAL BODIES
Art. 16
The social bodies of the AICC are:
1) The Assembly;
2) The President;
3) The Governing Council.
Art. 17
The members Meetings are ordinary and extraordinary.
The ordinary meetings are held at least once a year.
The assembly at an Ordinary Meeting elects:
a) The President;
b) The members of the Governing Council.
The newly elect will take office immediately following the election.
The assembly will approve the final budgetary balance and the moral and financial report of the preceding year, as well as approve the estimated budget and programme for the following year.
Extraordinary meetings are called by the President at the Governing Council requests, or by written request, with stated arguments, of five or more members. Notification of a meeting must come about 15 days before the set date, and must include a meeting outline.
Meetings are valid on the condition to 50% of voting members are present. In case of one’s inability to participate, the member will be able to delegate another member, in handwriting on the same letter of convocation. No member is allowed to represent more than 3 non-present members. Should the first meeting be deserted or lack quorum, then a second meeting may take place the same day, even in the following hour, and at least 3/10 of voting members must be present.
Regardless, the election of the Governing Council requires a majority plus one of voting members.
The decisions are approved by the simply majority of those present, be it the first or the second meeting.
Art. 18
The Governing Council is the executive body of the AICC and includes the following: a President; a Secretary; and a Treasurer. These three year positions can be joined. Outgoing members of the Governing Council may be re-elected only once consecutively.
For the validity of meetings of the council, at least half of the members must be present; decisions must be taken by the simple majority. The exception is special majority of those present and of decisions foreseen in this statute. When the simple majority is sufficient, but votes are tied, the President’s vote will prevail.
Art. 19
The President is also President of the Governing Council, and presides over all meetings. He or she will call all ordinary and extraordinary assemblies.
Art. 20
The Secretary follows the deliberations of the members meetings and of the Governing Council, writes the reports on the AICC activities; ensures secretarial services, and takes all minutes of the assembly and Governing Council; substitutes the President in case of absence or impediment.
Art. 21
The treasurer will oversee that membership and other fees are paid by members; will make all regular as well as authorized payments; will present the annual balance sheet to the Governing Council.
Art. 22
The association will begin its activity from January 1 of each year and end on the December 31 of the same year.
D) FINAL DISPOSITIONS
Art. 23
The modifications to the statute and the dissolution of the AICC require the will of 2/3 of regular members. Should quorum not be reached, a second assembly will be able to decide by simple majority, whatever the number of those present.
Whatever funds remain will be given to one or more charitable or social causes.
Art. 24
For whatever was not mentioned herewith, the Civil Code shall apply.
